These terms and conditions (“Terms”) apply to the Referral Rewards Program ("Program") of Eden Health, Inc. (“Eden Health”). The purpose of the Program is to bring on new Eden Health clients through referrals. A “Participant” is an individual who submits a referral via the Eden Health Referral Form (“Referral Form”) and satisfies the eligibility requirements (defined further below). A Qualified Referral (defined below) that becomes an Eden Health Client (defined below) is defined as a “Referred Eden Health Client.”
By submitting the Referral Form, the Participant agrees to be subject to these Terms and Eden Health’s Privacy Policy, each as may be amended from time to time. Decisions of Eden Health are final, binding and non-appealable. These Terms are independent of any other relationship between Participant and Eden Health. To the extent permitted by applicable law, Eden Health reserves the right to change or cancel the Program at any time.
PARTICIPANT ELIGIBILITY REQUIREMENTS
To be eligible for the Program a Participant must:
- Provide all the details for a Qualified Referral in the Referral Form;
- Be an individual over 18 years old and a resident of the United States;
- Not have an already existing referral relationship with Eden Health (other than under this Program), as may be determined by Eden Health;
- Not be a broker, channel or alliance partner of Eden Health;
- Not have another already existing referral relationship with Eden Health (other than under this Program), as may be determined by Eden Health;
- Not be a licensed healthcare professional;
- Not be an employee of Eden Health; and
- All participants in any other Eden Health referral program relating to Eden Health products and services are ineligible to participate in the Program. Individuals may not participate in the Program where doing so would be prohibited by any applicable law or regulation.
Eden Health reserves the right to disqualify any Participant that it determines, in its sole discretion, is ineligible to participate or Eden Health otherwise does not wish for the Participant to participate.
DEFINITION OF A QUALIFIED REFERRAL
A Qualified Referral must meet the following criteria:
- The information submitted on the Referral Form must be current and accurate in all respects;
- The referral cannot be an Active Lead or an Existing Eden Health Client. An “Active Lead” is defined as either a company or individual contacted by Eden Health within the preceding 180 calendar days. An Existing Eden Health Client is defined as any company that currently receives services from Eden Health or has signed a contract for the provision of such services;
- The referred contact cannot be an active employee of an Active Lead or Existing Eden Health Client;
- The referred contact must be a decision maker for the company with authority over HR or benefits matters (further described below);
- Participant must have a pre-existing personal relationship with the referral. In other words, Participant may not acquire referrals through unsolicited e-mail to persons unknown to them, and may not submit referrals based on email lists or other similar harvested consumer lists. The referral must be located within the United States; and
- The referral must have given the Participant express written consent to provide their details to Eden Health, and to have Eden Health contact them.

What kind of company makes a good referral?
A good referral lead is a C-level contact (CEO, CFO, CHRO, or CPO, etc.) or an owner, founder, financial decision maker, or head of employee benefits at his, her, or their company. In short: Your referral should be a decision maker for the company with authority over HR or benefits matters. We would also like to reference you by name when we contact your referral.
REWARDS FOR QUALIFIED REFERRALS
If a Qualified Referral results in a Completed First Meeting with a Eden Health sales consultant within 14 business days of the submission of the Referral Form, then a $50 Amazon Virtual Incentive Account (“Gift Card Reward”) will be sent to the Participant via email. A Completed First Meeting must include the decision-maker who has full budgetary approval to purchase outsourced human resources and group health benefits. The Gift Card Reward will be sent via email to the Participant within 60 calendar days following the Completed First Meeting. Participant may not request cash or a substitute prize. Eden Health reserves the right to substitute a prize (or a portion thereof) with another prize of equal or greater value if the prize (or portion thereof) is not available for any reason, as determined by Eden Health in its sole discretion. The Gift Card Reward may be subject to fees, charges, minimum requirements, and/or expiration, in the sole discretion of Thnks.com.
If a Qualified Referral acquires professional employer services from Eden Health (an “Eden Health Client”) within 90 calendar days of the referral, and remains an Eden Health Client for more than 90 calendar days, the Participant will be entitled to choose and receive a Reward of one of the following: (a) a direct payment via electronic funds transfer, (b) a credit applicable towards the payable cost of an upcoming Eden Health pop-up event contracted with the Participant’s employer, or (c) a general credit applicable towards the Participant’s employer’s upcoming billing statement. The Reward amount is based on the Eden Health Client’s number of employees covered and paid for on the first invoice with Eden Health, as follows:
- $1,250 for 250 to 499 employees
- $2,500 for 500 to 999 employees
- $5,000 for 1,000+ employees
Upon Eden Health receiving the Participant’s decision as to the Reward form of choice, the Reward may be processed and paid out or credited towards the applicable payable cost or billing statement, as applicable, at least 90 calendar days after the Eden Health Client’s first payroll. Once the Reward is processed, the Participant may not request a substitute prize. Eden Health reserves the right to substitute a prize (or a portion thereof) with another prize of equal or greater value if the prize (or portion thereof) is not available for any reason, as determined by Eden Health in its sole discretion.
EXCLUSIONS
Eden Health reserves the right to disqualify any Participant that it determines, in its sole discretion, is ineligible to participate in the program. Eden Health has complete discretion as to who it will do business with and on what terms including, without limitation, whether to accept a referral as a customer. Eden Health is not responsible for lost, misdirected or delayed referrals.
PROGRAM CANCELLATION AND TERMINATION
To the extent permitted by applicable law, Eden Health may at any time, without prior notice, terminate or modify the Program or these Terms, or both. All questions or disputes regarding eligibility for the Program; eligibility for or award of a Reward or Gift Card Rewards, or both; or interpretation of these Terms will be resolved by Eden Health in its sole discretion. Eden Health reserves the right to void either Gift Card Reward or Rewards, or both, if it suspects that such Rewards were earned in a fraudulent manner, in a manner that violates applicable law or these Terms or in a manner otherwise not intended by Eden Health.
TAXES
Rewards and Gift Card Rewards under the Program are subject to applicable federal, state and/or local taxes, to which the Participant shall be solely responsible. Upon Eden Health’s sole determination that the Participant should receive Rewards or Gift Card Rewards, Eden Health will contact the Participant to request a completed IRS Form W-9. To the extent permitted by applicable law, if the Participant does not respond to a request from Eden Health to complete a Form W-9 or otherwise indicate a referral payment preference within 30 days of such request, Eden Health will rescind Participants’ Reward or Gift Card Reward, or both. Eden Health will report earnings under this Program to the extent required by applicable law.
COMMUNICATIONS
By submitting the Referral Form, Participant consents to receive electronic communications from Eden Health including advertising and marketing materials.
GOVERNING LAW
The laws of the State of New York, without regard to its conflict of law provisions, will govern the Program and its Terms. Any causes of action arising out of or connected with Participant’s use of the Program or its Terms will be resolved exclusively by arbitration in the city of the Eden Health in accordance with rules and processes of either the American Arbitration Association (“AAA”).
The arbitration will be administered by the AAA in accordance with the Commercial Arbitration Rules and the Supplementary Procedures for Consumer Related Disputes (the "AAA Rules") then in effect, except as modified by this "Dispute Resolution" section. (The AAA Rules are available at http://www.adr.org/arb_med or by calling the AAA at 1-800-778-7879.) The Federal Arbitration Act will govern the interpretation and enforcement of this Section. A party who desires to initiate arbitration must provide the other party with a written Demand for Arbitration as specified in the AAA Rules. AAA provides a general form for a Demand for Arbitration and a separate form for Demand for Arbitration for California residents. The arbitrator will be either a retired judge or an attorney licensed to practice law and will be selected by the parties from the AAA’s roster of arbitrators. If the parties are unable to agree upon an arbitrator within seven (7) days of delivery of the Demand for Arbitration, then the AAA will appoint the arbitrator in accordance with the AAA Rules.
LIABILITY LIMITATIONS
In no event shall Eden Health be liable for any direct, special, indirect or consequential damages, or any other damages of any kind, regardless of the type of claim or legal theory asserted, arising out of or in any way connected with (i) the Program; (ii) the use of or inability to use the site or any materials, or (iii) any claim attributable to errors, omissions, or other inaccuracies in the site or any materials.
